These Terms of Service (the "Terms") are a legal agreement between Simplevox LLC, doing business as Woggle ("Woggle," "we," "us," or "our"), and you.

If you are an individual using the Woggle mobile app, website, or related services (collectively, the "Service"), these Terms govern your access to and use of the Service. If you access or use the Service on behalf of a Scout unit, youth-serving organization, school, nonprofit, family, household, or other entity (each, an "Organization"), you represent that you have authority to bind that Organization to these Terms, and "you" includes both you and that Organization.

By creating an account, clicking to accept, downloading the app, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Overview of the Service

Woggle is a coordination and communication platform designed to help groups such as Scout units and other youth-serving organizations manage channels, announcements, calendars, RSVPs, signups, household participation, and related communications.

Woggle is an independent software service. Unless expressly stated otherwise, Woggle is not sponsored by, endorsed by, or affiliated with Scouting America, the Girl Scouts of the USA, any local council, troop, pack, den, patrol, school, church, chartered organization, or any other third-party organization.

2. Eligibility and Authority

2.1 Adult users

You must be at least the age of majority in your state or country of residence, and capable of forming a binding contract, to create an account for yourself or on behalf of an Organization.

2.2 Youth users

The Service may allow limited accounts or profiles for minors ("Youth Users"). Youth Users may only access or use the Service when:

  1. the account or profile is created, invited, approved, or managed by a parent or legal guardian, or by an authorized adult acting on behalf of an Organization with any required parental or guardian authorization; and
  2. the use of the Service complies with applicable law, these Terms, and the Organization's own youth protection, safeguarding, and communication policies.

The Service is not intended for children to independently register for accounts without adult involvement.

2.3 Organizational authority

If you create, manage, or administer an Organization, household, unit, roster, event, or communication space within Woggle, you represent and warrant that you have the authority to do so and that you will use the Service in compliance with applicable law and your Organization's own rules and policies.

3. Accounts, Roles, and Security

3.1 Accurate information

You must provide accurate, current, and complete information and keep it up to date.

3.2 Credentials

You are responsible for safeguarding your login credentials and for all activity that occurs under your account, except to the extent caused by our own negligence or misconduct.

3.3 Roles and permissions

The Service may provide different roles, permissions, and visibility settings for leaders, parents, guardians, volunteers, Youth Users, and household members. You are responsible for assigning roles appropriately and for reviewing Organization and household settings.

3.4 Unauthorized access

You must promptly notify us at [[email protected]] if you know or suspect unauthorized access to your account or the Service.

4. Youth Safety, Parent Visibility, and Organizational Responsibility

Woggle may provide tools intended to support safer communication patterns, including role-based visibility, parent or guardian participation, leader-managed spaces, reporting tools, and other account or communication controls.

These tools are intended to support, not replace, adult supervision, common sense, compliance programs, youth protection rules, or legal obligations. You remain solely responsible for:

  • supervising Youth Users in your care;
  • following your Organization's youth protection and safeguarding policies;
  • obtaining any required parental, guardian, or organizational approvals;
  • determining whether your use of the Service is appropriate for your Organization; and
  • responding appropriately to offline conduct, emergencies, or safety incidents.

Woggle does not guarantee that any feature will prevent misconduct, policy violations, or harmful communications.

5. Acceptable Use and Community Rules

You may use the Service only in a lawful, respectful, and authorized manner. You may not, and may not encourage or assist others to:

  1. violate any law, regulation, court order, or third-party right;
  2. create, upload, transmit, or share content that is unlawful, defamatory, fraudulent, infringing, threatening, abusive, harassing, hateful, exploitative, or sexually explicit;
  3. create, upload, transmit, or share any content involving the sexual exploitation of minors, child sexual abuse material, grooming behavior, or content that endangers children or Youth Users;
  4. bully, stalk, intimidate, threaten, or target another person;
  5. impersonate another person or Organization, or misrepresent your identity, role, authority, affiliation, or relationship to a Youth User;
  6. use the Service for random, anonymous, or inappropriate direct contact, including contact intended to bypass parental visibility, role restrictions, or Organization safeguards;
  7. upload or transmit spam, scams, malware, viruses, or other harmful code;
  8. interfere with, disrupt, or compromise the security, integrity, or performance of the Service;
  9. attempt to gain unauthorized access to accounts, data, systems, or networks;
  10. scrape, harvest, mine, export, or use data from the Service except as expressly permitted by the Service;
  11. reverse engineer, decompile, disassemble, copy, modify, or create derivative works of the Service except where prohibited by law from restricting those rights;
  12. use the Service to infringe intellectual property, privacy, publicity, or other legal rights;
  13. use the Service in a way that could expose Woggle, users, or Youth Users to harm, liability, or security risk; or
  14. use the Service in a way that conflicts with these Terms, any posted policies, or any reasonable instructions we provide.

We may investigate violations and may remove content, restrict features, suspend accounts, terminate access, or report conduct to parents, guardians, Organization administrators, platform providers, law enforcement, or child safety authorities when appropriate.

6. User Content

6.1 Your ownership

You retain ownership of text, images, files, event details, roster information, messages, comments, signup entries, and other content you submit, upload, transmit, or make available through the Service ("User Content"), subject to the rights you grant below.

6.2 License to Woggle

You grant Woggle a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, format, process, transmit, display, perform, distribute, and otherwise use your User Content solely as necessary to:

  • provide, operate, maintain, secure, and improve the Service;
  • facilitate communications, events, signups, and account administration;
  • back up and archive data;
  • detect, prevent, investigate, and address fraud, abuse, safety issues, and legal compliance matters; and
  • enforce these Terms.

6.3 Your promises about User Content

You represent and warrant that:

  • you own or control the rights necessary to submit the User Content;
  • your User Content and our permitted use of it will not violate any law or any third-party rights;
  • you have all permissions needed to upload photos, names, contact details, attendance information, and other personal information you submit; and
  • your User Content complies with these Terms.

6.4 Feedback

If you provide ideas, suggestions, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation.

7. Moderation, Reporting, and Enforcement

Woggle may, but is not required to, monitor User Content or user conduct. We may review, investigate, remove, or restrict User Content or accounts if we believe they may violate these Terms, create safety risks, infringe rights, expose us or others to liability, or otherwise harm the Service.

8. Privacy and Data Handling

Our Privacy Policy explains how we collect, use, disclose, retain, and delete personal information. The Privacy Policy is incorporated into these Terms by reference.

You agree that we may process personal information in accordance with the Privacy Policy and applicable law. If you submit or manage personal information about others, including Youth Users, family members, or Organization participants, you represent that you have all necessary rights, notices, and consents to do so.

10. Third-Party Services and Organization Policies

The Service may interoperate with or rely on third-party services, content, devices, operating systems, app marketplaces, email or SMS providers, maps, calendar systems, hosting providers, analytics tools, or payment processors. Your use of those third-party services may be subject to separate terms and privacy policies.

You are also responsible for complying with your Organization's rules and any third-party terms applicable to your use of the Service.

11. Intellectual Property and Limited License

The Service, including its software, design, interfaces, branding, text, graphics, functionality, and all related intellectual property, is owned by Woggle or its licensors and is protected by law.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. Except as expressly permitted, you may not copy, distribute, sublicense, sell, lease, reverse engineer, modify, or create derivative works based on the Service.

Woggle and related names, logos, and product marks are our trademarks or those of our licensors. Nothing in these Terms grants you any right to use them except as expressly allowed by us.

13. Suspension and Termination

13.1 By you

You may stop using the Service at any time. If you wish to delete your account, follow the in-app or website instructions, if available, or contact us.

13.2 By us

We may suspend, limit, or terminate your access to the Service, with or without notice, if:

  • you violate these Terms;
  • your use creates safety, privacy, legal, or security risk;
  • we are required to do so by law, court order, or platform policy;
  • your account is inactive for an extended period; or
  • we discontinue the Service or a portion of it.

13.3 Effect of termination

Upon termination, your right to use the Service ends immediately. We may delete or de-identify your data after termination, subject to applicable law, legitimate business needs, backup retention, and our Privacy Policy.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOGGLE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

WITHOUT LIMITING THE FOREGOING, WOGGLE DOES NOT WARRANT THAT:

  • communications will always be delivered or seen;
  • events, signups, attendance records, or roster data will always be complete or accurate;
  • the Service will prevent misconduct, bullying, abuse, or policy violations;
  • the Service will satisfy all legal, regulatory, or organizational requirements applicable to your use case; or
  • the Service is a substitute for adult supervision, safety planning, emergency response, or legal compliance advice.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOGGLE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF WOGGLE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. the amount you paid to Woggle for the Service in the 12 months before the event giving rise to the claim; or
  2. USD $100.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

16. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Woggle and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, demands, actions, damages, judgments, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your use of the Service;
  • your User Content;
  • your violation of these Terms;
  • your violation of any law or third-party rights; or
  • your management of Youth Users, Organization data, or personal information submitted through the Service.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law rules.

Except where prohibited by law, you and Woggle agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Lake County, Illinois, and you consent to those courts' personal jurisdiction and venue.

18. Changes to the Service or Terms

We may modify the Service, add or remove features, or update these Terms from time to time. If we make material changes, we will provide notice as required by law, such as by posting updated Terms, updating the effective date above, or providing in-app notice.

Your continued use of the Service after the updated Terms take effect means you accept the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

19. General Terms

19.1 Entire agreement

These Terms, together with the Privacy Policy and any additional terms presented for specific features, constitute the entire agreement between you and Woggle regarding the Service.

19.2 Severability

If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

19.3 No waiver

A failure to enforce any provision of these Terms is not a waiver.

19.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, or sale of assets.

19.5 Survival

Any provisions that by their nature should survive termination will survive, including provisions relating to ownership, licenses, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

20. Apple App Store Additional Terms

If you access the Service through an app downloaded from Apple's App Store, the following terms apply:

  1. Acknowledgement. These Terms are between you and Woggle only, and not with Apple. Apple is not responsible for the Service or its content.
  2. Scope of License. Your license to use the app is limited to a non-transferable right to use the app on Apple-branded products that you own or control, and as otherwise permitted by the App Store terms and applicable usage rules.
  3. Maintenance and Support. Woggle, not Apple, is solely responsible for providing any maintenance and support for the app.
  4. Warranty. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price you paid for the app, if any. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the app.
  5. Product Claims. Woggle, not Apple, is responsible for addressing any claims by you or any third party relating to the app, including product liability claims, any claim that the app fails to conform to applicable legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar laws.
  6. Intellectual Property Claims. If a third party claims that the app or your possession and use of the app infringes that third party's intellectual property rights, Woggle, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of that claim.
  7. Legal Compliance. You represent and warrant that you are not located in a country subject to a U.S. government embargo, and that you are not on any U.S. government list of prohibited or restricted parties.
  8. Third-Party Terms. You will comply with applicable third-party agreement terms when using the app.
  9. Third-Party Beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance of these Terms, will have the right to enforce these Terms against you as a third-party beneficiary.
